These Terms of Use ("Terms") govern your use of The Breakout Group, LLC's (“we,” “us,” or “our”) Breakout Score and any related services (collectively, the "Service"). 

 

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

 

Information submitted in connection with the Breakout Score may include confidential business insights. By completing the assessment, you confirm you are authorized to share such information and acknowledge it will be processed using third-party service providers engaged by The Breakout Group, LLC solely for the purpose of generating diagnostic results and related advisory materials.

 

1. Acceptance of Terms

By using our Service, you confirm that you accept these Terms and that you agree to comply with them. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.

 

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will alert you about any changes by updating the "Effective Date" of these Terms on our website at www.thebreakoutgroup.com. It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Service after any such modifications constitutes your acceptance of the revised Terms.

 

3. Access and Use of the Service

A. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement.

 

B. User Account

To access certain features of the Service, you may be required to create an account. You agree to:

 

* Provide accurate, current, and complete information during the registration process.

* Maintain the confidentiality of your password and identification.

* Notify us immediately of any unauthorized use of your account.

* Be responsible for all activities that occur under your account.

  3. Using automated systems or software to extract data from the Service (scraping).

  4. Interfering with the operation of the Service.

 

4. Intellectual Property Rights

All content, features, and functionality on the Service, including text, graphics, logos, images, software, are the property of The Breakout Group, LLC or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from the Service without express prior written permission. The Breakout Score™'s methodology, scoring logic, structure, and associated materials are proprietary to and the exclusive property of The Breakout Group, LLC, and may not be reproduced, distributed, reverse-engineered, or commercially used without written permission from The Breakout Group, LLC.

Reports are licensed for internal evaluation use by the participating organization and may not be redistributed or commercially used without written permission.

 

5. User Content

You retain ownership of information and materials submitted through the Service (“User Content”). By submitting User Content, you grant The Breakout Group, LLC a limited, non-exclusive license to use such information solely for the purpose of generating assessment results, related advisory materials, and improving the Service in aggregated, non-identifiable form. We do not sell or publicly disclose User Content.

 

6. Disclaimers and Limitation of Liability

A. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the operation or availability of the Service, or the accuracy of any information provided.

 

The Breakout Score is a diagnostic framework intended for informational and strategic discussion purposes only. It does not constitute legal, financial, accounting, investment, or operational advice. No guarantees or representations are made regarding outcomes, performance, or future results. All decisions informed by this assessment remain the sole responsibility of the reader.

References to growth potential, performance strength, or future positioning reflect diagnostic interpretation of current structural conditions and should not be interpreted as forecasts or guarantees of future performance.

Nothing in these Terms or in the provision of the Service creates a fiduciary, advisory, agency, partnership, or joint venture relationship between you and The Breakout Group, LLC.

The Service may utilize automated systems, analytical models, or third-party technologies to generate scoring outputs, summaries, or related materials. We do not warrant the accuracy, completeness, reliability, or fitness for any particular purpose of any automated or algorithmically generated content.

This assessment is based solely on information voluntarily provided by the participating organization at a specific point in time. The Breakout Group, LLC does not independently verify submitted information and assumes no responsibility for inaccuracies or omissions.

 

B. Limitation of Liability

To the fullest extent permitted by applicable law, The Breakout Group, LLC and its officers, directors, employees, contractors, and affiliates will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from the use of the Breakout Score or reliance on its results or: 

 

1. Your access to or use of, or inability to access or use, the Service.

2. Any conduct or content of any third party on the Service.

3. Unauthorized access, use, or alteration of your transmissions or content.

7. Indemnification
You agree to indemnify and hold harmless The Breakout Group, LLC from any claims, damages, liabilities, and expenses arising out of or related to your use of the Service or violation of these Terms.

 

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Tarrant County, Texas.

 

9. No Third Party Beneficiaries

These Terms are solely for the benefit of the parties and do not create any rights in favor of any third party.

10. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

 

11. Entire Agreement
These Terms constitute the entire agreement between you and The Breakout Group, LLC regarding the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral.
